These terms constitute a binding Master Services Agreement (“Agreement”) between the commissioning client (“Client”, “you”) and ASAD ECHO LIMITED (“Agency”, “we”, “us”, “our”), a private limited company incorporated in England and Wales.
ASAD ECHO LIMITED provides professional website design, custom web application development, SaaS product engineering, headless CMS integrations, video media delivery architectures, cloud infrastructure orchestration, and ongoing technical maintenance.
Each project commences pursuant to an agreed Technical Statement of Work (SOW) or written project scope schedule. SOW documents define the exact technical architecture, milestone deliverables, testing criteria, timelines, and commercial consideration.
To ensure transparency and absolute technical alignment, client engagements are partitioned into verifiable milestone stages:
Wireframing, clickable prototypes, system schema, and technical stack sign-off.
Full-stack coding, API endpoints, database migrations, and staging deployment.
Cross-browser validation, performance auditing, production rollout, and IP assignment.
Upon delivery of each milestone to a staging environment, the Client receives a 7-business-day User Acceptance Testing (UAT) review period. Written notice of acceptance or specific defect items must be submitted within this window.
All fee quotations are denominated in British Pounds Sterling (GBP – £). We accept corporate payments via BACS Direct Bank Transfer, CHAPS, SEPA, and major credit/debit cards (Visa, Mastercard, American Express) processed through PCI-DSS Level 1 compliant financial merchant infrastructure.
Invoices are issued according to project milestone completion schedules or monthly maintenance retainers. Payment is due within 14 calendar days from invoice issuance unless alternate credit terms are explicitly agreed in the SOW.
Full Assignment of Custom Code: Upon complete settlement of all agreed fees for the contracted milestone, Asad Echo LIMITED unconditionally assigns to the Client all worldwide rights, title, copyright, and intellectual property in the bespoke software code, database structures, UI graphics, and digital assets created specifically for the project.
Open-Source & Third-Party Components: Any standard open-source libraries (e.g., React, Node.js, Tailwind CSS) incorporated into deliverables remain subject to their respective permissive licenses (e.g., MIT, Apache 2.0).
We provide an inclusive 30-day (Core), 60-day (Growth), or 90-day (Enterprise) post-launch warranty period commencing upon production launch. During this period, any functional defects, broken workflows, or bugs conflicting with agreed specifications are rectified promptly at zero additional cost.
Neither party shall be liable to the other for indirect, special, incidental, or consequential loss, loss of anticipated revenue, or loss of business opportunity. The aggregate financial liability of ASAD ECHO LIMITED under this Agreement shall not exceed the total fees paid by the Client in the three (3) months preceding the claim.
